MCA allows sending of general meeting notices by email

On receipt of numerous representations from the stakeholders requiring clarifications on the difficulties faced by them on various elements relating to holding shareholder meetings by Video Conferencing mode or any other audio visual mode as allowed by the MCA’s General Circular no. 14/2020 dated 8th April, 2020, MCA has issued a further clarification by way of General Circular No. 17/2020 dated 13th day of April, 2020.   The said Circular provides a set of clarifications making it easier for companies to seek shareholder’s approval on urgent decisions by streamlining the rules related to electronic voting.   The clarifications seek to provide greater clarity on the modalities to be followed for conducting of shareholder meetings regarding issue of notices to members for meetings by using only electronic means, in view of the coronavirus crisis related lockdown and social distancing requirements.
