Clarification on holding of Annual General Meeting (AGM) through Video Conference (VC) or other Audio-Visual Means (OVAM)

The Ministry of Corporate Affairs vide its General Circular No. 02/2022 dated 05th May 2022, allowed Companies whose AGM are due to be held in the year 2022 to hold their AGM using the facility of video conferencing or other audio-visual means, on or before 31st December 2022 in accordance with the requirements laid down in Para 3 & 4 of General Circular Nos. 20/2020 dated 05.05.2020.
The above said Circular is in furtherance to clarifications issued by the Ministry of Corporate Affairs vide its General Circular No. 14/2020 dated 08.04.2020, 20/2020 dated 05.05.2020, 02/2021 dated 13.01.2021, 19/2021 dated 08.12.2021 & 21/2021 dated 14.12.2021, by virtue of which the Companies were allowed to hold AGM using the facility of Video Conferencing or other Audio-Visual means was available till 30th June 2022.
It is pertinent to note that no extension of time for holding AGM is being conferred by way of the Circular in respect of the AGMs to be held in the year 2022.
