MCA notifies Web-Based Filing of Form INC-22A (ACTIVE) under Companies (Incorporation) Amendment Rules, 2025
On 27th June 2025 the Ministry of Corporate Affairs (“MCA”) issued a notification introducing Companies (Incorporation) Amendment Rules, 2025 to further amend the Companies (Incorporation) Rules, 2014.
Effective from 14th July 2025, the Amendment Rules primarily focuses on submission of existing Form INC-22A substituting it with a new E-form thereby enhancing digitization and improving regulatory framework in India.
Pursuant to Rule 25A of the Companies (Incorporation) Rules, 2014, all companies incorporated on or before 31st December 2017 and holding ‘Active’ status at the time of filing were required to submit particulars of the Company and its Registered Office in Form INC-22A (ACTIVE) on or before 25th April 2019. Subsequently, vide notification dated 25th April 2019, the last date of filing the Form INC 22A was extended up to 15th June 2019.
Under the recent amendment, the MCA has shifted Form MCA form INC -22A (ACTIVE) to a web-based format on the MCA v3 portal, under the name ‘ACTIVE (Active Company Tagging Identities and Verification). While the mode of filing has changed, the content of the form remains the same.
In case of non-compliance of the above provision, Companies will be required to file the form along with a late fee of INR 10,000.
Companies marked as “ACTIVE non-compliant” shall not be eligible to file any request for recording the following event-based changes or information with the Registrar.
- SH-07 (Change in Authorized Capital)
- PAS-03 (Change in Paid-up Capital)
- DIR-12 (Changes in Director except cessation)
- INC-22 (Change in Registered Office) and
- INC-28 (Amalgamation, de-merger)
