Clarification on holding of Annual General Meeting (AGM) through Video Conference (VC) or other Audio-Visual Means (OVAM)

Introduction:
On receipt of several representations from the stakeholders, the Ministry of Corporate Affairs, in continuation of General Circular No. 20/2020 dated 05.05.2020 and General Circular No. 02/2022 dated 05.05.2022 issued a new General Circular No. 10/2022 dated 28.12.2022 for Companies whose AGMs are due in the year 2023, to conduct their AGMs on or before 30th September 2023 in accordance with the requirements laid down in Para 3 and Para 4 of the General Circular No. 20/2020 dated 05.05.2020
The above said Circular is in furtherance to clarifications issued by the Ministry of Corporate Affairs vide its General Circular No. 14/2020 dated 08.04.2020, 20/2020 dated 05.05.2020, 02/2021 dated 13.01.2021, 19/2021 dated 08.12.2021, 21/2021 dated 14.12.2021 & 02/2022 dated 05.05.2022 by virtue of which, companies were allowed to hold AGM using the facility of Video Conferencing (VC) or other Audio-Visual means (OAVM) till 31st December 2022.
Note:
It is pertinent to note that no extension is being conferred through this Circular to hold the AGM in the year 2023.
