MCA Allows Conduct of Shareholder Meetings by Video Conferencing or any Other Audio Visual Means for Urgent Resolutions

On receipt of numerous representations from the stakeholders concerning the difficulties faced by them on account of the threat posed by COVID-19, in holding physical shareholder meetings to pass ordinary and special resolutions of urgent nature, Ministry of Corporate Affairs (‘MCA’) had on 8th day of April, 2020 issued a General Circular No. 14/2020 (“original circular”) providing clarification regarding convening of shareholder meetings by Video Conferencing mode or any other audio visual mode till 30th day of June, 2020.

Therefore, in continuation of the original circular; order no. 17/2020 dated 13th April, 2020, order no. 22/2020 dated 15th June, 2020, order no. 33/2020 dated 28th September, 2020, order no. 39/2020 dated 31st December, 2020 were issued extending the said time limit provided in the original circular and on 23rd day of June 2020. Now another General Circular No. 10/2021 has been issued on 23rd day of June 2021 extending the said time limit further, till 31st December, 2021. All other requirements provided in the original circular shall remain unchanged.

News from the desk of National Company Law Tribunal (NCLT)

The National Company Law Tribunal (NCLT) vide their order dated 25th Jue, 2021 has decided to start regular hearing in NCLT benches w.e.f. 01st July, 2021 through Video Conference on all working days or as mentioned in remarks Column of the order linked below.

News from the desk of Labour Department, Govt. of Haryana

The Labour Department of the Govt. of Haryana (“Haryana govt.”) has issued an order dated 15th June, 2021 (“the Order”) for the purpose of revising minimum wages of scheduled employment under the Minimum Wages Act, 1948.

In accordance with section 5(2) of Minimum Wages Act, 1948; the Haryana govt. has increased the daily and monthly minimum wages by 3.23 percent.

This following rates of minimum wages shall be applicable in respect of unskilled, semiskilled, skilled, Clerical and Supervisory Staffs categories in all scheduled employments from 01st January, 2021:-
