Meeting of board through video conferencing or other audio visual means

Considering the impact of the global pandemic caused by the Covid-19, MCA has vide its Notification dated 15th day of June, 2021 amended the Companies (Meetings of Board and its Powers) Rules, 2014 (“Rules”) vide Companies (Meetings of Board and its Powers) Amendment Rules, 2021.

The notifications has omitted rule 4 of the Rules and allow the board of the Companies to also deal on the following matters through Video Conference or other audio visual  mode:-

 (i) the approval of the annual financial statements;

(ii) the approval of the Board’s report;

(iii) the approval of the prospectus;

(iv) the Audit Committee Meetings for  consideration of accounts; and

(v)  the approval of the matter relating to amalgamation, merger, demerger, acquisition and takeover:

 

The said rules have been effective from 15th day of June, 2021.

News from the desk of Labour Department, NCT of Delhi

The Labour Department of the National Capital Territory of Delhi (“NCT of Delhi”) has issued an order dated 18th June, 2021 (“the Order”) for the purpose of revising minimum wages of scheduled employment under the Minimum Wages Act, 1948.

In the previous minimum wages revision order by the Government of of NCT of Delhi vide notification No. 12(142)/02/MW/VII/3636 dated 22nd October, 2019 it was stipulated that the Dearness Allowance will be payable on the basis of six monthly average index numbers of January to June and July to December, on 01st April and 1" October respectively.

And whereas, now, the Government of NCT of Delhi after adjustment of the average All India Consumer Price Index Number of the period from July 2020 to December 2020 which is 340.95, an increase of 11.79 points, has declared the revised Dearness Allowance, which shall be payable for all categories w.e.f. 01st April, 2021.

1- This following rates of minimum wages shall be applicable in respect of unskilled, semiskilled and skilled categories in all scheduled employments.
